MEMORANDUM OF UNDERSTANDING
Between
National Centre of Excellence in Geology (NCEG), University of Peshawar
And
Giant Sequoia AI Technology (Changsha) China
1. PARTIES
This Memorandum of Understanding (MoU) is entered into by and between:
- National Centre of Excellence in Geology (NCEG), University of Peshawar, located at University of Peshawar, Peshawar-25120, Pakistan.
- Giant Sequoia Al Technology (Changsha), China.
2. PURPOSE
The purpose of this MoU is to establish a collaborative framework between NCEG and Giant Sequoia AI Technology (Changsha), China. to promote cooperation in geological research, mineral exploration, geophysical and geospatial techniques for socio-economic development.
3. AREAS OF COOPERATION
The Parties agree to collaborate in the following areas:
- Joint Venture: Undertake collaborative projects involving Government, Industry and academia for geological, mineral exploration, GIS / Remote Sensing, geophysical exploration and related fields.
- Exchange Program: Exchange of geological information, reports, joint publications of mutual interest, and multipurpose visits.
- Training and Capacity Building: Organize workshops, seminars, and training programs for professional development of experts and students.
- Internships and Placements: Facilitate internships and practical training opportunities for young graduates and professionals.
- Model Studies: Conduct joint geological field studies and surveys in collaboration with industry for creating model studies in consultation with Government.
- Commercialization: Potential areas for mineral prospects will be commercialized for attracting investors and industry .
4. RESPONSIBILITIES OF THE PARTIES
NCEG:
- Provide academic expertise and research facilities .
- Facilitate expert and student participation in joint activities.
- Share relevant geological information and research findings.
Giant Sequoia Al Technology (Changsha), China.
- Offer practical industry insights and access to exploration sites.
- To assist the NCEG tean / other in generation of model studies, inventories etc in major deposits of Pakistan and China.
- Provide funding or resources for joint project , as agreed upon.
- Share proprietary data, subject to confidentiality agreements.
5. FINANCIALARRANGEMENTS
This MoU does not constitute u financial obligation for either party. Specific financial arrangements for joint activities will be detailed in scparutc agreements as necessary.
6. INTELLECTUAL PROPERTY RIGHTS
Intellectual property rights arising from collaborative activities will be jointly owned by the Parties, unless otherwise agreed upon in writing prior to the commencement of specific projects.
7. CONFIDENTIALITY
Both Parties agree to maintain the confidentiality of proprietary information shared during the collaboration and not to disclose such information to third parties without prior written consent.
8. DURATION AND TERMINATION
This MoU is effective upon signature by both Parties and will remain in effect for a period of five (3) years. It may be renewed or amended by mutual written consent. Either Party may terminate this MoU with ninety (90) days written notice to the other Party.
9. DISPUTE RESOLUTION
Any disputes arising from this MoU will be resolved amicably through mutual consultation and negotiation between the Parties.
10. GENERAL PROVISIONS
- This MoU is a statement of intent and does not create any legally binding obligations.
- Any amendments to this MoU must be made in writing and signed by authorized representatives of both Parties.
